Terms and Conditions

1. Scope and the Provider

These General Terms and Conditions (hereinafter the Terms) govern the legal relationship between AD Promotion GmbH (hereinafter the Provider) and the Customer regarding the provision and use of the CarSyncPro software and service (hereinafter CarSyncPro or the Platform).

The Provider is AD Promotion GmbH, with its registered seat and business address at Binzwiesstrasse 12, 8514 Amlikon-Bissegg, Switzerland. The studio and office are located at Säntisstrasse 15, 9230 Flawil, Switzerland. The company is entered in the commercial register of the Canton of Thurgau under company number CH-440.4.041.172-7 and holds VAT number CHE-402.114.970 MWST. The company is managed by Fabian Weder and Cordin M. Camenzind.

The Provider can be reached by telephone at +41 71 560 56 80 and by email at info@ad-promotion.ch.

The Terms apply to all offers, contracts and services in connection with CarSyncPro, including the customer portal, the vehicle import, the display of the vehicle inventory, the lead and inquiry forms, the analysis and market intelligence features, and the Connector. By concluding the contract or registering, the Customer accepts these Terms in the version valid at the time the contract is concluded.

CarSyncPro is aimed exclusively at business customers, namely car dealers, garages and agencies acting within the scope of their professional or commercial activity. It is not intended for the conclusion of contracts with consumers within the meaning of consumer protection law.

Conflicting, deviating or supplementary general terms and conditions of the Customer do not become part of the contract, even if the Provider does not expressly object to them. They apply only to the extent that the Provider expressly agrees to their application in writing in the individual case.

2. Definitions

Within these Terms, the following terms are used as follows.

  • The Provider: AD Promotion GmbH as the provider and operator of CarSyncPro.
  • The Customer: the Provider's contractual partner, typically a car dealer, a garage or an agency that uses CarSyncPro under a subscription.
  • CarSyncPro or the Platform: the Provider's WordPress-based vehicle platform together with all associated services, interfaces and components.
  • The customer portal: the administration and operating interface of CarSyncPro provided to the Customer.
  • The Connector: the WordPress plugin that displays the vehicle inventory from the hosted instance as native content on the Customer's own website.
  • The end customer: the Customer's own customers, namely visitors as well as prospective customers on the Customer's website.
  • The subscription: the paid usage relationship for CarSyncPro with the agreed term and the agreed scope of services.
  • Content: all data, texts, vehicle information, descriptions, prices, images and other materials that the Customer posts, imports or has processed via CarSyncPro.

3. Description of Services

CarSyncPro is a WordPress-based vehicle platform for car dealers and garages that is provided as a subscription. The Platform brings together the capture, management and publication of vehicle data as well as the associated analysis and communication features in a single solution.

Depending on the selected subscription, the scope of services includes in particular the following features.

  • Vehicle import: the transfer of vehicle data from various sources, including vehicle portals such as AutoScout24.
  • Display of the vehicle inventory: the presentation of the vehicle inventory as native content on the Customer's own website via the Connector.
  • Lead and inquiry forms: the capture and forwarding of inquiries from prospective customers.
  • Analytics: the analysis of usage and inventory data.
  • Market intelligence: market-related analyses and comparison data.
  • Customer portal: the central interface for managing the vehicle inventory and the associated settings.

The specific scope of services owed results from the respective subscription, the order or a separate agreement. Unless expressly agreed otherwise, the Provider renders its services as software as a service over the internet; provision takes place at the handover point of the data center used by the Provider.

CarSyncPro is continuously developed further. The Provider is entitled to change, expand, replace or discontinue individual features, provided that this is reasonable for the Customer and the contractually owed core benefit is retained. There is no entitlement to the unchanged continuation of a particular feature, presentation or interface.

4. Conclusion of Contract and Registration

The presentation of CarSyncPro on the website and in the Provider's documents does not constitute a binding offer, but rather an invitation to submit an order. The contract is concluded when the Provider accepts the Customer's order or registration, but at the latest upon the activation of access or the provision of the service.

Registration is required in order to use CarSyncPro. The Customer is obliged to provide the information requested during registration and thereafter truthfully and completely, and to keep it up to date in the event of changes.

The Customer is responsible for keeping its access credentials confidential and is liable for all actions carried out under its account. If there is a suspicion of misuse or loss of the access credentials, the Customer must inform the Provider immediately and change its access credentials.

The Customer ensures that the persons acting on its behalf are authorized to make the relevant declarations and to use CarSyncPro.

5. Prices, Subscription, Payment via Stripe and Default

Prices are based on the price overview valid at the time the contract is concluded or on the individual order. Unless stated otherwise, prices are in Swiss francs (CHF) and are exclusive of statutory value-added tax and any further duties.

CarSyncPro is billed as a subscription with the agreed billing period, for example monthly or annually. The fees are owed in advance for the current billing period in each case, unless agreed otherwise.

Payment processing is carried out via the payment service provider Stripe. The Customer authorizes the Provider or Stripe to collect the amounts due via the stored means of payment. Stripe's terms additionally apply to payment processing. The Customer is responsible for storing a valid and funded means of payment and keeping it up to date.

The Provider is entitled to adjust the prices for future billing periods. Price adjustments are communicated to the Customer in good time before they take effect. If the Customer does not agree with a price adjustment, the Customer may terminate the subscription as of the date on which the adjustment takes effect; continued use beyond that date is deemed to be acceptance.

If the Customer is in default with a payment, the Provider is entitled to charge default interest of 5 percent per year from the onset of default and to suspend the services in whole or in part after a prior reminder and the setting of a reasonable grace period. Further claims remain reserved. The suspension does not release the Customer from its obligation to pay for the agreed term.

6. Term, Automatic Renewal and Termination

The subscription begins upon conclusion of the contract or activation of access and runs for the agreed minimum term. If no different term results from the order, the contract term is one month for monthly billing and one year for annual billing.

The subscription automatically renews for a further period equal in length to the original term, unless it is terminated by one party with a notice period of 30 days as of the end of the current term.

Termination must be made in text form, for example by email to info@ad-promotion.ch, or via the function provided in the customer portal.

The right to extraordinary termination for good cause remains reserved to both parties. For the Provider, good cause exists in particular if the Customer remains in default with payment despite a reminder, breaches material obligations under these Terms, or uses CarSyncPro in an abusive or unlawful manner.

Upon termination of the contract, the Customer's right to use CarSyncPro ends. The Provider grants the Customer a reasonable period to export its content. After this period expires, the Provider is entitled to delete the Customer's content and account, provided that no statutory retention obligations preclude this.

7. Obligations and Responsibilities of the Customer

The Customer is solely responsible for the content that it posts, imports, publishes or has processed via CarSyncPro, as well as for its lawfulness. The Customer bears responsibility for ensuring that its use of CarSyncPro complies with applicable law.

  • The Customer ensures that the vehicle data, descriptions, prices and images that it posts or imports are correct, current and legally permissible.
  • The Customer warrants that it holds the necessary rights to all content, in particular to vehicle images and vehicle descriptions, and that its use of them does not infringe any third-party rights, namely no copyright, trademark, personality or competition rights.
  • When taking over data from third-party sources, for example from vehicle portals, the Customer observes the respective applicable terms of use of these sources and obtains the necessary authorizations itself.
  • The Customer fulfills the data protection obligations incumbent on it toward its end customers, in particular the information obligations, and obtains any necessary consents itself.
  • The Customer does not use CarSyncPro for unlawful, misleading or unfair purposes and refrains from anything that could impair the operation of the Platform, the integrity of the data or the security of the systems.
  • When advertising and selling vehicles to its end customers, the Customer complies with the applicable regulations, namely fair trading and consumer protection law as well as the regulations on price disclosure.

If the Customer breaches these obligations, the Provider is entitled to block or remove the affected content where possible after prior notice, and to block access in the event of serious or repeated violations. The Customer indemnifies the Provider against all third-party claims that are based on a breach of these obligations, including reasonable costs of legal defense.

8. Availability, Maintenance and No Entitlement to Uninterrupted Operation

The Provider strives to provide CarSyncPro with high availability. However, there is no entitlement to uninterrupted, always available and error-free operation, unless a different availability has been expressly agreed in the form of a service level.

The Provider is entitled to carry out maintenance, updating and adjustment work that may temporarily lead to restrictions or interruptions. Planned maintenance work is announced in advance where possible and scheduled for times of low usage.

Availability may be impaired by circumstances beyond the Provider's control, namely by disruptions at upstream suppliers such as hosting providers, payment service providers or external data sources, by disruptions of the internet, by attacks on the infrastructure or by force majeure. The Provider assumes no responsibility for such impairments.

9. Support

Within the scope of the subscription, the Provider makes support available to the Customer for the use of CarSyncPro. Support requests can be directed by email to info@ad-promotion.ch as well as via the channels provided in the customer portal.

Support is provided on business days during usual business hours. The Provider processes requests within a reasonable period but does not owe any specific response or resolution time, unless agreed otherwise.

Support includes assistance with questions about operation and with malfunctions of CarSyncPro. It does not include services outside the agreed scope of services, namely individual programming, the setup or maintenance of the Customer's own systems and websites, as well as the resolution of malfunctions that are attributable to the Customer's interventions or to third-party systems. Such services can be agreed against separate remuneration.

10. Warranty and Liability

The Provider renders its services with customary due care in accordance with the current state of the art. Since CarSyncPro is provided as a continuously developed standard solution, the Provider does not warrant any particular suitability for a special purpose assumed by the Customer and no particular quality, unless this has been expressly agreed.

The Provider is liable for damages only insofar as intent or gross negligence can be attributed to it or its auxiliary persons. Liability for slight negligence is excluded to the extent permitted by law.

To the extent permitted by law, the Provider's liability for indirect and consequential damages is excluded, namely for lost profit, foregone savings, data losses, third-party claims and business interruptions. To the extent that the Provider's liability is limited or excluded, this also applies to the personal liability of its officers, employees and auxiliary persons.

To the extent permitted by law, the Provider's total liability is limited to the amount of the fees paid by the Customer for the subscription in the twelve months preceding the event causing the damage.

The Provider assumes no warranty for the correctness, completeness and currency of data from external sources, namely vehicle data imported from vehicle portals, or for market-related analyses that are based on such data. The Customer is responsible for reviewing and approving the published content.

Any mandatory statutory liability, namely under the Product Liability Act and for personal injury, remains unaffected by the foregoing limitations.

11. Intellectual Property and Right of Use

All rights to CarSyncPro, including the software, the source code, the user interfaces, the databases, the documentation, the trademarks and the other intellectual property, belong to the Provider or its licensors and remain with them.

For the duration of the subscription, the Provider grants the Customer a non-exclusive, non-transferable and non-sublicensable right to use CarSyncPro within the agreed scope for its own business purposes. No further right, in particular no right to the source code, is granted.

The Customer is not entitled to modify, decompile, reverse engineer, reproduce or make CarSyncPro or parts thereof accessible to third parties, unless this is mandatorily permitted by law or expressly agreed.

The Customer's content remains the property of the Customer or the authorized third parties. The Customer grants the Provider the right to store, process, reproduce and display this content to the extent necessary for the performance of the contract, namely for displaying the vehicle inventory on the Customer's website.

The Provider is entitled to list the Customer in a reference list, stating its name and logo, provided that the Customer does not object to this.

12. Data Protection and Commissioned Data Processing

The Provider processes personal data in connection with CarSyncPro in accordance with the revDSG (the revised Swiss Federal Act on Data Protection) and, where applicable, the General Data Protection Regulation of the European Union (GDPR). Details on the processing of personal data by the Provider are set out in the privacy policy.

To the extent that the Provider processes personal data on behalf of the Customer for which the Customer is responsible, namely data of the Customer's end customers, this takes place as commissioned processing. The details of the commissioned processing, in particular the subject matter, duration, nature and purpose of the processing, the categories of data subjects as well as the technical and organizational measures, are governed by a separate data processing agreement that applies in addition to these Terms.

The Customer is responsible for the lawfulness of the processing of the personal data that it introduces, namely for the existence of a valid legal basis and the fulfillment of the information obligations toward the data subjects.

The Provider may engage sub-processors to provide its services, namely for hosting and payment processing. The admissibility, the conditions and the information regarding the engagement of such sub-processors are governed by the data processing agreement.

13. Confidentiality

The parties undertake to keep secret all non-obvious information of the other party that becomes known to them within the scope of the contractual relationship and that is designated as confidential or is to be treated as confidential by its nature, and to use it only for the performance of the contract.

Excluded from confidentiality is information that is demonstrably publicly known or becomes publicly known without a breach of this obligation, that was already lawfully known to a party before disclosure, or that must be disclosed due to a statutory or official order.

The confidentiality obligation continues to exist after termination of the contract for a period of three years, and in the case of trade secrets for as long as they are worthy of protection.

14. Changes to the Terms

The Provider is entitled to amend these Terms, namely in the event of a further development of CarSyncPro, in the event of changed legal or regulatory requirements, or to remedy ambiguities.

The Provider notifies the Customer of changes to the Terms in good time before they take effect in an appropriate form, for example by email or via the customer portal. The changes are deemed approved if the Customer does not object to them within 30 days of the notification or if the Customer continues to use CarSyncPro after the changes take effect. In the notification, the Provider informs the Customer of the objection period and of the consequences of remaining silent.

If the Customer objects to the changes in good time, the Provider may terminate the subscription as of the date on which the changes take effect. Until termination, the previous Terms continue to apply.

15. Final Provisions

Should a provision of these Terms be or become wholly or partly ineffective, invalid or unenforceable, the effectiveness of the remaining provisions shall not be affected thereby. The parties shall replace the ineffective provision with an effective arrangement that comes closest to the economic purpose of the ineffective provision. The same applies to any gaps in the contract.

Amendments and supplements to the contract as well as the cancellation of this written form clause require text form to be valid, unless these Terms provide otherwise.

The Customer is not entitled to transfer rights and obligations under this contract to third parties without the Provider's prior written consent. The Provider is entitled to transfer the contract to a third party in the context of a company or business transfer.

A set-off by the Customer against counterclaims is only permitted to the extent that these are undisputed or have been established by a legally binding judgment.

This contract and these Terms are governed exclusively by Swiss law, excluding the conflict of laws rules of private international law and the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention).

The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is, to the extent permitted by law, the registered seat of the Provider in the Canton of Thurgau. Mandatory statutory places of jurisdiction remain reserved. The Provider is furthermore entitled to take legal action against the Customer at the Customer's registered seat.
